Copernicus grew out of the work done at Growth Preservation. It is a separate business, with its own investment manager, its own general partner, and its own website.

The connection is one of lineage: the two partnerships run under Growth Preservation are what made the case for building a larger vehicle with independent administration and audit, and Ward McKinley founded that vehicle.
The fund is managed by Copernicus Investment Manager LLC, with Copernicus Partners LLC as its general partner. Anything to do with the fund — materials, eligibility, subscriptions — is handled there, not here.
Copernicus Hedge Fund LP is a globally diversified fund of funds that holds its positions exclusively through exchange-traded funds. The structure is deliberately transparent: every underlying holding is a listed, priced instrument rather than a private or bespoke one.
The fund is administered and audited independently of the manager, and reports to its limited partners on a regular cycle.
The investment manager to the fund — responsible for the portfolio and for the day-to-day management of the strategy.
The general partner to the fund, carrying the partnership’s governance and administrative responsibilities.

The fund is offered under Rule 506(c) of Regulation D. That has two consequences worth stating plainly.
Because the fund charges performance-based compensation, investors must also be “qualified clients” under Advisers Act Rule 205-3. Since 29 June 2026 that means either $1.4 million under management with the adviser immediately after investing, or a net worth above $2.7 million, alone or together with a spouse, excluding a primary residence.
